A company name change is a formal amendment to the company's Memorandum of Association (MOA) and Certificate of Incorporation, approved by the MCA. The process requires both board approval and shareholder approval via a special resolution, followed by filing Form INC-24 with the Registrar of Companies.
We apply for the proposed new name through the MCA's RUN (Reserve Unique Name) portal. The name must comply with MCA naming guidelines and must not be identical or deceptively similar to an existing company or LLP.
A board meeting is held and a resolution is passed approving the proposed new name and authorising the filing of the name change application.
An Extraordinary General Meeting (EGM) is convened. Shareholders pass a special resolution (75% majority) approving the name change and the consequent alteration of the MOA.
Form INC-24 is filed on the MCA portal along with the special resolution, altered MOA, and other supporting documents. The ROC reviews the application.
Upon approval, the ROC issues a fresh Certificate of Incorporation with the new company name. The old name is officially replaced.
After receiving the new COI, all registrations must be updated — GST, PAN, TAN, bank accounts, contracts, letterheads, and any other statutory registrations.
